PAYMENT TERMS

E-Web maintains a 30 day billing cycle. Invoicing recurs every 30 days, from the first invoice date. Payment terms is 30 days, via Direct Debit. This Direct Debit can be against your bank account or credit card

GST

E-Web pricing is quoted excluding GST. The prescribed level of GST will be levied on E-Web invoices.

WEB CREDENTIALS CHECKLIST

E-Web requires access to various online credentials which you hold. Please complete and promptly return the checklist we submit. E-Web is unable to commence work with the necessary access.

MEDIA SPEND (IF RUNNING PAID ADS)

Where E-Web is invoicing the Client for media spend (cost of clicks) on Google, Bing & Facebook campaigns, E-Web assumes liability for the cost. Should the Client fail to prepay media spend for the coming month, E-Web reserves the right to suspend Ads on Google, Bing & Facebook campaigns – without liability – until the payment is received by E-Web. E-Web is not obliged to refund unused media spend resulting from non-payment or early termination. (In the case of a Client paying its own media spend directly to Google, Bing & Facebook, this Clause will not apply.)

INDEMNITY AGAINST HOSTING OUTAGES, LAPSED DOMAIN NAMES, MALICIOUS HACKS

E-Web does not provide website hosting, domain name registration or website security for clients. Hosting providers and domain name registrars do not communicate hosting outages, lapsed domain name registrations or malicious hacks to E-Web. E-Web is unable to detect hosting outages, lapsed domain names or malicious hacks automatically. The Client indemnifies E-Web against losses resulting from hosting outages, lapsed domain name registrations or malicious hacks. The Client may request suspension of media spend (cost of clicks) on Google, Bing & Facebook by emailing [email protected], also copying the Client’s manager at E-Web, during regular business hours (Mon-Fri 9:00am-5:00pm) Sydney time. If this request is made outside of regular business hours, it will be attended to as soon as reasonably possible, on the next business day. E-Web is not obliged to refund all/part of other Management services which the Client wishes to suspend as a result of hosting outages, lapsed domain name registrations or malicious hacks.

SERVICE AND DELIVERY

E-Web will deliver services in line with best practice and endeavors. The Client accepts that Time Logs kept by E-Web employees (and available upon request,) shall be accepted as source documents and conclusive proof that services have been delivered by E-Web in good faith.

INDEMNITY AGAINST INDUSTRY TRENDS

The Client indemnifies E-Web against losses incurred as a result of industry downturns, falling sales, trend reversals, lower consumer confidence and financial crises.

ADDITIONAL SERVICES

Work falling outside the scope of this proposal will be charged at an hourly rate of $150 + GST. The client agrees to pay for any additional work requested and E-Web is not obliged to discount this rate. This includes future change of heart, change of marketing strategy, variation to design colours and fonts where E-Web has performed work in the past.

CONTRACT TERM AND TERMINATION

The Client may cancel this Contract by providing thirty (30) days’ notice in writing, emailed to [email protected], also copied to the Client’s manager at E-Web. This notice must be given prior to 5:00pm Sydney time, on a business day.
If the Client’s written notice does not coincide with regular recurring invoicing, the Client agrees to pay the balance of the thirty (30) days’ notice period, pro-rata from the date of notice of termination. Where no written notice is provided, the Client agrees to pay a cancellation fee equivalent to thirty (30) days’ service & media spend under the most recent arrangements.

ONGOING OWNERSHIP OF GOOGLE ADWORDS AND BING ACCOUNTS

If the Client wishes to terminate services with E-Web, then accounts created in Google AdWords and Bing Ads can be returned to the Client, providing the following conditions are first met:

We can’t guarantee that our work will be error-free (we’re human!) so we can’t be liable to you or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if you’ve advised us of them.
